Welcome to Hoflings Ltd. These Terms of Service (“Terms”) govern your access to and use of our HR software,
SaaS platform, HR consulting services, and any related tools or resources provided by Hoflings Ltd (“we”, “us”,
or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, you may not use
our platform or services.


1. Definitions

  • “Services” refers to all HR-related software, tools, platforms, consulting, and support offered by Hoflings Ltd.
  • “Software” refers specifically to our cloud-based HR SaaS platform and related applications.
  • “User”, “Client”, or “You” refers to any individual or organisation using our Services.
  • “Agreement” refers to these Terms of Service.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years old.
  • Have the authority to enter into binding agreements on behalf of your organisation.
  • Use the Services in accordance with applicable U.S. laws and regulations.

3. Use of the Services

You agree to use our Services only for lawful business purposes and in compliance with these Terms. You must not:

  • Interfere with or disrupt our platform.
  • Attempt to access systems or data you do not have permission to.
  • Copy, modify, or reverse engineer the Software.
  • Share your login credentials with unauthorized individuals.

We reserve the right to suspend or terminate your access for violating these Terms.

4. Software Licensing (SaaS HR Platform)

Hoflings Ltd provides the Software on a subscription-based, non-transferable license. Clients may:

  • Access the Software through the cloud.
  • Use the Software only for internal HR operations.
  • Add or remove users in accordance with their subscription plan.

Clients may not:

  • Resell, sublicense, or redistribute the Software.
  • Use the Software for competing HR software development.
  • Access the source code.

5. Payment & Billing

  • Subscription fees are billed monthly or annually as agreed.
  • All fees are non-refundable unless required by U.S. law.
  • Late payments may result in temporary suspension of Services.
  • Price changes will be communicated in advance.

If billing information is inaccurate, you must update it promptly.

6. Data Protection & Privacy

We take data privacy seriously. By using our Services, you acknowledge that your data will be handled in
accordance with our Privacy Policy, which outlines what data we collect, how we use and store it,
and the security measures we apply.

You remain the owner of all HR and employee data you upload to the platform. For the purposes of data protection
laws, you act as the Data Controller and Hoflings Ltd acts as the Data Processor.

7. Confidentiality

Both parties agree to keep confidential any business, employee, or operational information shared throughout the use of our Services.

Confidentiality obligations do not apply to:

  • Publicly available information.
  • Information independently developed.
  • Information required by law to be disclosed.

8. Service Availability & Updates

We strive to maintain continuous uptime for our SaaS platform; however, we do not guarantee uninterrupted service
and may perform scheduled or emergency maintenance.

We may update or modify the Software at any time, including feature enhancements, security improvements,
bug fixes, or deprecation of outdated functions.

9. Limitation of Liability

Hoflings Ltd is not liable for:

  • Loss of profits or revenue.
  • Loss of data not caused by our negligence.
  • Business interruption.
  • Indirect, incidental, or consequential damages.

Our total liability for any claim is limited to the amount paid for Services in the previous twelve (12) months.

10. Client Responsibilities

You agree to:

  • Provide accurate information.
  • Ensure your employees comply with these Terms.
  • Maintain the security of your login credentials.
  • Use the Software responsibly and in accordance with U.S. federal and New Jersey state laws.

11. Termination

You may terminate your subscription at any time by notifying us.

We may terminate or suspend access if:

  • You breach these Terms.
  • Payment is overdue.
  • You misuse the platform.

Upon termination:

  • Access to the Software ends immediately.
  • You may request an export of your data within thirty (30) days.
  • Outstanding fees remain payable.

12. Intellectual Property

All trademarks, logos, software code, platform designs, and content belong to Hoflings Ltd. You may not use our
intellectual property without written permission.

13. Third-Party Services

Some features may integrate with third-party providers (for example, payroll systems or cloud hosting).
We are not responsible for issues caused by third-party platforms.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey and applicable laws of the
United States. Any disputes will be resolved exclusively in the courts of New Jersey.

15. Changes to These Terms

We may update these Terms occasionally. Any changes will be posted on this page with the updated date.
Continued use of the Services indicates acceptance of the revised Terms.
